Peculiarities of registration of company in the UAE in the free zone “Creative City Fujairah”
All license owners may perform only their approved types of activities. In breach of this condition, violators can be charged with penalties and subjected to legal proceedings.
All companies should open a bank account in the UAE.
At the moment of registration of a license or at its prolongation, the period of validity of a license can be selected – one to three years, and a corresponding fee should be paid. Nevertheless, after a fee for license prolongation is paid, it cannot be returned.
For extra payment, it is possible to order prompt processing of a statement for issuance of a license for a company.
For citizens of certain countries, it is necessary to obtain prior approval before processing an application for license issuance. Potential owners of companies should notify of their citizenship and place of birth, so that to evaluate if prior approval for them is mandatory. Meanwhile, a positive decision on prior approval does not guarantee a positive decision regarding issuance of the “Establishment Card” and UAE visa, as these issues are solved at the discretion of the Migration Committee of Fujairah; their issuance and terms do not anyhow depend on a free zone.
When filing an application for registration of a new company or application for prolongation, a client should provide a document listing types of activities of a company and signed by an owner or authorized person.
- Company with one owner-natural person is called FZE (“Free zone establishment”), responsibility of such a company is not limited.
- Company with multiple owners-natural persons or a corporate owner(s) is called FZ LLC (“Free zone limited liability company”), responsibility of such a company is limited with a capital invested by each owner.
All license owners should prolong their licenses after expiry.
A license should be prolonged or cancelled in a thirty-day period from the date of expiration. Nevertheless, clients are recommended to meet all the requirements for prolongation or cancellation of a license at least 15 working days prior to expiration of a beneficiary period of a license.
If a license is not prolonged or cancelled within a defined term, a penalty can be charged in amount 200 dirham (54.5 dollars) per month. Besides, if a license also has an “Establishment card”, then after 29 days from the moment of expiry an “Establishment card” a penalty will be charged in amount 1,100 dirham (300 dollars), and then a penalty of 100 dirham (27.3 dollars) per month.
After 90 days upon expiry of validity term of a license, a free zone may apply legal measures and request to pay the penalties regarding licenses and UAE visas issued for a company.
All license owners may settle any legal issues with a free zone having paid 5,000 dirham (1,370 dollars) for each UAE visa of a company in addition to fees for prolongation or cancellation.
A license owner may cancel a license at any time after meeting all the requirements regarding cancellation of licenses, among which are fees for cancellation and return of original documents of a company, and if necessary, payment of penalties for expired visas and closing a bank account.
All the original documents of a company issued by a free zone must be returned at cancellation of a license. If failed to meet this requirement, an application on lost documents must be filed to the police.
A free zone provides a replacement for lost original documents.
A free zone may temporarily stop providing all services to a client if there are any unpaid late payments.
A free zone is not obliged to return any sums paid for a license, is an “Establishment card” was recalled by the Migration Department. Still, by decision of management a fee can be returned by reduction of administrative payments at least for 10% upon obtaining a request for return from a client.
Requests for return cannot be accepted if three months have passed since issuance of a trade license.
Companies may not open an actual office outside a free zone, except a case where a free zone was given an official application for opening a branch office, and in case of approval on the part of the administration of free zone and other respective governmental and non-governmental departments. Companies may nit own a private postbox, address, etc., without approval of a free zone.
Any company may file a request for alteration of a license by adding, removal, changing types of activity, shareholders, authorized signatories, changing company name or increasing the level of license pack.
For such packs as “Baby Business” and “Freelancer”, decreasing the pack level is not possible.
Any changes in company name must be published in a UAE newspaper. A statement should contain the previous company name, the new name, the number of the license and the reason for change. A license owner should also request the bank’s approval.
Companies must notify a free zone of any changes in contact details, data of owner’s passport and responsible persons without delay, to update the company data.
Requirements to execution of a license, visa, etc. can change, and the management of the free zone can request any additional documents it finds necessary.
UAE visas during registration of company in the UAE in the free zone “Creative City Fujairah”
Resident UAE visas issued by the free zone “Creative City” are valid for 3 years; a company should provide that all its visa owners had valid UAE visas and should provide that its visas for employees were prolonged or cancelled before expiry.
A free zone is not responsible for payment of any late penalties that may accumulate as result of delayed approval of visas, etc.
A free zone is not responsible for any applications for UAE visas declined by the Migration Department.
Companies may choose prompt execution of visas with payment of extra fees. Nevertheless, terms of visa execution will correspond to the pace of migration procedures.
If a visa is declined by security reasons, then a free zone may return fees with deducted administrative expenses. A free zone is not obliged to return any sums paid for a visa, if a visa was declined or was not prolonged by any other reasons.
If a responsible person or last holder of a visa in a company wishes to cancel his/her UAE visa, then a company must pay a special deposit to perform cancellation of a visa. This sum will be used as a fee for cancellation of a license at the moment when a client notifies a free zone that he/she wants to cancel a license. Any extra fee for cancellation or a penalty charged at the moment of actual receipt of a cancellation request should be paid by a client
No company registered in the UAE in the free zone “Creative City” is allowed to exceed the number of visas UAE permitted for its license. When meeting certain conditions, a free zone may allow a limited number of additional UAE visas.
A free zone considers any claims from any employee of any company, investigate them, and take necessary measures to solve these issues.
All license owners should regulate their financial obligations before their employees (salaries, premiums, paid leaves, etc.) according to the hire agreement signed by both parties and subject to the UAE legislation.
A company may not request blocking visas of its employees without providing legal grounds.
Companies registered in the UAE in the free zone “Creative City” may not request employee visas for any persons not employed by a company. Otherwise, a company will be responsible and will be charged with a penalty.
A resident visa UAE becomes invalid if a visa owner leaves the UAE for more than 6 consecutive months.

Obtaining new license for a company registered in the UAE in the free zone “Creative City Fujairah”
Requirements in obtaining a new license
To obtain a new license, it is necessary to provide:
- Properly completed application for obtaining a license;
- Precise color copy of passport owners(s) and responsible person:
- first page and/or page containing actual passport information;
- page with residency or valid permission for entering the UAE, stamped into passport (not mandatory for commercial license – FZE or FZ LLC);
- citizens of India should provide a copy of the last page, citizens of Pakistan – copy of the second page;
- if an owner or a responsible person is the citizen of the UAE, then a color copy of the “Family Book” and the “Emirates ID” should be provided.

- power of attorney (2 copies) — in case of more than one owner and when a responsible person is one of them, or if a responsible person is not an owner. A power of attorney should describe in detail rights of a responsible person, especially regarding applications for visas UAE, regarding opening and managing a bank account, issues related to employees, etc.

Please also keep in mind that:
- All legal documents consisting of more than one page should be properly sealed.
- Power of attorney should be corresponded by a color copy of a valid passport of a responsible person.
- Administration of the free zone reserves the right to request any additional documents it finds necessary.
- Administration reserves the right to request additional attestation of the UAE embassy or other embassies, if necessary.
- Legal documents should be presented in English or Arabic language. Documents in any other language should be corresponded by a notarized translation into English or Arabic language.
- One person may appeal for more than one license.
To register a branch or an affiliate company in the UAE, while a parent company is registered in the UAE, the following is necessary:
- Official documents of a parent company – originals and set of copies (license, shareholder certificate, certificate of registration of company in the UAE, Memorandum of Association, etc.). Originals are only needed for verification by the administration of FTZ, and will be returned soon after. All originals of legal documents should be attested by the body that had registered the parent company.
- Color copies of passports of owners of the parent company and the responsible person.
- Certificate “Good Standing” of the parent company.
- Decision of the Board of the parent company stating that all shareholders agree with registration of a branch or registration of a company in the UAE in the free zone “Creative City” (2 originals).
- Power of attorney (2 originals) — if an owner(s) assigns other person to act in his name as a manager. A power of attorney should provide in detail rights of a responsible person, especially regarding application for obtaining UAE visas, opening a bank account and its use, and issues related to employees, etc.
- No objection certificate (NOC) from the body that issued the license of the parent company.
Please note that:
- Decision of the Board and/or power of attorney is required from an authorized signatory stating full name, citizenship and passport number.
- All legal documents should be attested by the body that registered the parent company.
To register a branch or affiliate company in the UAE, if a parent company is registered outside UAE, the following is necessary:

License extension for a company registered in the UAE in the free zone “Creative City Fujairah”
Documents necessary for extension of a license:
- Properly completed application for alteration of a license;
- Color copy of owner(s) passport with a valid UAE resident visa or valid UAE entry permit;
- All original documents should be returned to the free zone;
- In case with company LLC, a decision of the Board certifying a wish to extend a license is necessary;
- Payment of the fee for license extension.
Prolongation of license of a company registered in the UAE in the free zone “Creative City Fujairah”
A license is subject to prolongation on annual basis.
A fee for prolongation of a license should be paid in advance, before starting the prolongation procedure.
If a registered company fails to perform prolongation, the administration of the free zone may suspend a license.
Documents necessary for prolongation of a license:
- Properly completed application for prolongation of a license.
- Precise color copy of owner(s) passport and/or responsible person:
- First page and/or page containing valid passport information;
- Page stating residency or valid UAE entry permit (not mandatory for commercial license FZE or FZ LLC));
- Precise color copy of the last page of the passport for citizens of India, and the second page for citizens of Pakistan;
- If an owner or responsible person is citizen of the UAE, then a color copy of the Family Book and the “Emirates ID”.
- Power of attorney — if more than one owner and a responsible person is one of them, or if a responsible person is not an owner. A power of attorney should provide in detail rights of a responsible person, especially regarding application for obtaining UAE visas, opening a bank account and its use, hiring issues, etc.
- Brief description of type of activity.
- If a company is an owner, then a certificate of “Good Standing” of an owner-company should be provided.
- Payment of a prolongation fee.
Non-prolongation of a license:
- All companies registered in the UAE in the FTZ “Creative City” should prolong their licenses within one month upon expiry of their license term.
- After the permitted beneficiary period (30 days after expiry of the license term) each month is charged with a penalty in amount of 200 dirham (54.5 dollars).
- If an “Establishment card” is not updated within a month after expiry of validity term, a client will pay a penalty in amount of 1,100 dirham (300 dollars) and 100 dirham (27.3 dollars) for each consecutive month.
- Penalty in amount of 5,000 dirham (1,370 dollars) for every applicable UAE visa issued through a company.
Moreover, most banks freeze bank accounts of companies which licenses had expired. Therefore, clients are strongly recommended to prolong their licenses before expiry.
A free zone may take any or all of the following legal measures against a company that fails to prolong a license:
- Cancellation of a license;
- Notification of different bodies of a personnel being under sponsorship of a company (having visas);
- Take legal measures against an owner(s) of a company.
- In exclusive cases, the administration of the free zone has full right to revoke visas of employees without approval of an owner or responsible person of a company.

Changing the type of activity
Business activity of a company can be changed or new types of activity can be added at any moment, provided that the selected type of activity is approved by the administration of the free zone.
To change/add a type of company activity, the following is necessary:
- Properly completed form on license change;
- All original documents of the company must be returned to the free zone;
- In case with company LLC with more than one owner the Decision of the Board is necessary (2 sets);
- Description of the new type of activity;
- Payment of the fee for changing the type of activity.
Documents of the updated company will be ready after 5 working days.
Documents provided to a client upon registration of a company in the UAE in FTZ “Creative City”
Upon registration of a company a client obtains the following documents:
- Trade license;
- Certificate of registration of a company in the UAE in FTZ “Creative City”;
- Shareholder certificate;
- Articles of Association / Memorandum of Association;
- Power of attorney (1 set attested by the free zone), if applicable;

Transfer of shares of a company when registering a company in the UAE in FTZ “Creative City”
Companies in the FTZ “Creative City” may easily change owners at any time.
The current shareholder(s) may add shareholders or remove shareholders or change the structure of shares of the company upon their discretion.
To perform sale of shares to a new owner-natural person, the following is necessary:
- Letter with request stating the type of requested transaction and its details, signatures of all shareholders / authorized signatory.
- Application on alteration of a license.
- Decision of the Board stating the made alterations, signed by all shareholders;
- Form for sale of shares signed by all shareholders/ seller and buyer.
- Originals of all documents must be returned to the free zone.
- Color copies of passports of sellers and buyers of shares.
- Payment of the fee for making amendments.
Execution time 5 working days.
To perform sale of shares to a new owner-legal entity, the following is necessary:
- Documents of the buying company:
- All documents of the buying company – originals and one set of color copies (license, shareholder certificate, certificate of registration company, Memorandum of Association, etc.). Originals are only needed for verification by the administration of the free zone, after what they are immediately returned.
- Decision of the Board stating that all shareholders agree with purchase of shares of the company registered in the UAE in FTZ “Creative City” (2 sets).
- Power of attorney stating the authorized signatory of the company, with copy of the passport (4 sets).
- Copies of passports of owners and responsible persons of the company.
- Certificate of “Good Standing” for the parent company or a similar document stating that the license will be valid till the required date.
- If a company is registered in the UAE, then original documents of a company must be attested by the body that had issued the license. No Objection Certificate (NOC) from the body that had issued the license of the parent company is also necessary.
- If a company is registered outside the UAE, then originals of all documents, the certificate of “Good Standing”, the Decision of the Board and the power of attorney must be attested in the country of origin and in the Ministry of Foreign Affairs UAE.
- Documents from the company registered in the “Creative City”:
- Letter with request stating the type of the requested transaction and its details, signed by all shareholders / authorized signatories.
- Application for change of the license.
- Decision of the Board stating the made alterations, signed by all shareholders (2 sets).
- Statement of transfer of shares signed by all shareholders / seller and owners of the buying company / authorized signatory (set for buyer, for seller and for free zone) – signatures must be certified by a representative/agent of the free zone.
- Power of attorney (2 sets), if an owner assigns other person who will act in his name as a manager. A power of attorney must precisely describe the rights of the responsible person, especially regarding execution of visas of the company, opening or using a bank account, employment issues, etc.
- All original documents must be returned to the free zone.
- Color copy of passports of buyers and sellers of shares.

Making amendments to documents of a company after registering a company in the UAE in FTZ “Creative City”
At any time after registration of a company you may appeal for making amendments, such as transfer of shares, updating the information on shareholders, changing the company name, changing types of activity, changing the responsible person, expanding the license, etc. Changes approved by the administration of the free zone must be shown in the company license, in the certificate of registration of the company and in the shareholder certificate.
- Standard alterations required at prolongation of a license will be free, except cases where an additional activity is stated.
- The free zone must be provided with the Decision of the Board of the company, signed by all shareholders and stating the required alterations, together with original documents.
Changing the company name
The company name can be changed if a new preferred name is available for registration.
To change the company name:
- It is necessary to publish notice/announcement in any leading newspaper in the UAE, while these details must be provided:
- Old name of the company;
- New preferred name of the company;
- Number of the license;
- Reasons for changing the company name;
- Anybody who can make objections on changing the company name, within 5 days after publication of the announcement can contact the free zone “Creative City” and give reasons for his objections.
- A bank must provide a letter with approval for changing the name.
To change the company name the following are necessary:
- Properly completed form of application on changing the company name;
- Color copy of owner(s) passport / responsible person;
- All original documents of the company must be returned to the free zone;
- In case with company LLC with more than one owner, the Decision of the Board (2 sets) is necessary;
- Original newspapers with announcement on changing name;
- Payment of the fee for changing name.
Documents of the updated company will be ready in 5 working days.
Changing the responsible person / authorized signatory / manager
Required documents:
- Properly completed application for changing license;
- Color copy of passport of a new responsible person with a valid resident visa UAE or valid UAE entry permit;
- All original documents must be returned to the free zone.
- Decision of the Board (2 sets) verifying assignment / remission of an authorized signatory / manager / responsible person, signed by all shareholders.
- Power of attorney for a new manager.
- Payment of the fee for making amendments.
Documents of the updated company will be ready in 5 working days.
Owners / managers must notify the bank of changes in their company.
